ETHICS
Ethics means science of traditions .It is to distinguish right from wrong, fair from unfair, good from bad, just from unjust and to do what is believed to be right, fair, good and just.
Ethics word in Turkish has the same meaning with morals. Ethics means the codes of conduct adopted and required to be obeyed by the people in a society.
Ethics and ethical values include in general the rules not written in the laws, regulations and directives. These have been formed of historical experience brought by social life, generally.
ETHICAL VALUES
Ethical values are the codes of conduct out of laws, whose rules and sanctions are determined by the society, not by the legislative power.
Ethical values should be taken into consideration by service providers to gain social reliability. Those rules are as follows:
Giving priority to human,
Keeping social interests above individual interests,
Being reliable,
Having strategic and long-term opinions,
Acting in a team spirit,
Being honest,
Being accountable,
Acting elastically,
Being responsible,
Not entering into monetary relations so as to become dependable on others, Being consistent,

OUR CODES OF BUSINESS CONDUCT
DORMAK Incorporated (Company/DORMAK) stipulate being dependant on the codes of business conduct and one of the keystones of the corporate culture in all business processes and relations.
Our policies and values in our working life, which have a long past are put in writing and made our codes of business conduct.
Our codes of business conduct which aim to bring a behavioural model to be reflected in all our stakeholder relations will be a loadstar in all the fields of our business.
TRUST, RESPECT AND RESPONSIBILITIY
In our company, it is essential to create a working environment which supports cooperation, which includes mutual respect, which is far from harassment and unprofessional behaviours and where equal opportunities are offered without discrimination. It is important to maintain our relations with our business friends, our subordinates and our superiors under a sense of responsibility, common ethical values and an understanding of loyalty keeping the achievement of our company above everything.
Our company’s policy is to treat honestly and fairly to all its employees and everybody who applies for a job and to give everybody an equal employment and development opportunity without discrimination of race, colour, gender, religion, age, nation, ethnic origin, marital status.
Our company attaches great importance to create a working environment free from any oral and physical harassment based on race, ethnic origin, religion, physical or sexual factor or any other factor prohibited by laws.
We respect the private lives and personal spaces of one another and we do not show any pejorative, offending, insulting or frightening behaviours to one another or our business parties.
HONESTY
We have to be honest, fair, reliable and to care of ethical values. We have to adopt the highest behavioural standards as a principle in our works. Trueness and honesty are our primary values in all our business processes and relations.
We have to treat honestly and fairly in all our relations with our managers, customers, suppliers, competitors, employees, subordinates, superiors and any other people and establishments so as to be in conformity with the company’s objectives. Our company’s name is a source of pride for us and it reminds ever by we keep company with of a sense of trust.
SECRECY
Confidential and private information include those which may cause disadvantage in respect of competition, customer information, trade secrets, strategic business plans, financial and other information not made public yet, suppliers-related information, R&D studies, information on plants and production, employees personal information and information under confidentiality agreements with third parties.
Unauthorized sharing and improper using of confidential information may damage the activities of the company, may affect its operational and financial performance adversely and may damage its reputation.
We, as company employees, take care of confidential and private information of our customers, employees and other persons and establishments we do business with. WE protect confidential information on the activities of Group companies and we share such information with authorized persons only within determined authorization.
Insider trading, including stock jobbing at the exchange, by insider information is not be definitely acceptable. We never allow unauthorized people to take advantage of any confidential information, documentation, projects, regulations and similar studies that we know about due to our jobs, by disclosing them when we leave our company.
We use our access permission to confidential and private information on our company, business friends, customers and suppliers in compliance with the laws and regulations for professional purposes as required by our work and our job and we only share them with authorized and relevant persons.
We never talk about confidential and private information in public places such as mess halls, cafeterias, elevators, company vehicles and we never gossip about our company, peoples or any establishments.
CONFLICT OF INTEREST
Conflict of interest means any advantages given to the employees, their relatives, their friends or the persons or establishments they keep company with, which affect or may affect to do their jobs objectively or their having any pecuniary or personal advantages.
We, as company employees, aim to stay away from any conflict of interest. We do not derive personal benefits from any persons and establishment we deal with personally, by means of our family or our kinsmen, taking advantage of our present jobs.
We do not conduct any business activity based on an additional financial benefit out of the company. We avoid using DORMAK’s name and power to derive personal benefits. We carry out our duties based on accountability transparency principles.
We never enter into any personal receivables and payables relations with any parties directly or indirectly related to our duties.
We are always attentive to our relatives in business relations, we do not differ them from others on business relations and we take care of company interests.
Out of company duties and activities, private investments and business relations may cause conflict of interests. Examples which may lead to conflict of interests are as follows:
• The fact that we or some of our family members hold an important share (10% or more share) in any competitor company or a decision maker power or position on the business of such companies,
• The fact that we or some of our family members are interested in a transaction which the company is or may be interested in,
• The fact that we or some of our family members try to gain personal benefits by taking advantage of corporate possibilities and opportunities of the company,
• The fact that we or some of our family members receive wages or commissions or derive a profit from any supplier, competitor or customer of the company.
OUR RESPONSIBILITIES
All of us take part in forming a general image of our company by our personal decisions and operations when conducting our daily works. Situations where correct choices are not simple and obvious occur as our work volume and the world around us gradually enlarge and get more complicated. Decisions we would make in such situations should be in compliance with our codes of business conduct, our policy and procedures in effect, our shared common ethical principles and values.
Our ethical rules are guide lines giving information on basic policies and methods to be pursued to conduct commercial activities in compliance with effective laws and ethical values. However, it should be noted that our ethical rules do not handle all the relevant laws and when such laws are sometimes addressed, they are given without details. Therefore, the common responsibility of the company’s personnel is to be law- a biding.
We carry out all our activities and operations inside and outside Turkey under Turkish and international laws and we submit complete and understandable information to regulatory institutions and organizations in time.
We also obey the ethical values, special directives and rules of the companies we represent or work together, if we are informed of such requirements.
In addition to our legal responsibilities, we also care of discharging our responsibilities to our customers, employees, shareholders, suppliers, associates, competitors, society and humanity, as detailed below.
OUR SOCIAL RESPONSIBILITIES
We act sensitively to the need of the society as integral and participant members of our country and society we live in. It is important for us to develop life standards in our country and around us and we all try to contribute to it.
We act sensitively to environmental issues and we take necessary measures not to damage the environment, knowing that such contributions will affect our success and existence positively in long term. We support any activities to contribute to economic and social development.
Our most preferred targets are to use natural and any other energy resources in the most efficient and economic way, to control wastes and noise pollution and to minimize such effects on human health. Our company has a principle of supporting training, equal opportunities, to conserve health and cultural values, within a same of social responsibility.
Protecting democracy, human rights and the environment is very important for us. We act sensitively as pioneers in social issues in a sense of being good citizens and we try to take part in non-governmental organizations, services for the public weal and such other proper activities.
OUR RESPONSIBILITIES TO OUR CUSTOMERS
We work in a customer-satisfaction-focused, proactive understanding meeting customer needs and requests in the most proper way, in the shortest time. We offer our services in time and under the conditions we promise and we approach our customers within the frame of respect, honour, equality and politeness rules. We establish consistent, fair and careful communication with our customers and we approach on the same commercial customs.
We never derive unfair benefits from anybody by means of manipulation, misusing private or other confidential information, making false statements or committing other unfair treatment.
It shall be possible for us to establish our values and to achieve our objectives only be evaluating, responding and meeting the changing needs and expectations of our customers better and faster than our competitors.
We recognize and apply that to establish long-term relations with our customers as we aim and to ensure our customers dependence on us shall only be possible by understanding our customers’ needs deeply and by offering them superior goods and services respecting ethical values.
OUR RESPONSIBILITIES TO OUR EMPLOYEES
We treat our employees honestly and fairly. We do our best to provide out employees with a non- discriminatory, safe and healthy work environment.
Our company aims to fully provide worker health and work safety at workplace and on the job by means of the following rules:
• Employees shall act according to the rules and instructions established for such purposes and take necessary measures,
• Employees shall not keep any dangerous articles or substances at workplace.
• Employees shall not keep any narcotic, addictive drugs restricting or eliminating mental or physical skills at workplace, except for those based on a doctor’s report and employees shall not work at workplace when they are under the effect of such drugs.
OUR RESPONSIBILITY TO OUR SUPPLIERS/ASSOCIATES
We avoid taking unnecessary or unmanageable chances and we aim sustainable profitability, first attaching importance to the continuity of our company and according to the objective of creating values for our suppliers/ associates.
We act within the frame of financial discipline and accountability. We manage our company’s resources, assets and our working time in a sense of efficiency and saving. We care of increasing our competition power and investing in the areas with growth potential and providing the highest return to the invested resource. We give timely, correct, full and clear information on our financial statements, strategies, investments and risk profile to our shareholders and in our public explanations.
We act fairly and respectfully as expected from a good customer. We care of fulfilling our obligations in due time. We carefully protect the confidential information of the persons and establishments we do business with and our associates.
OUR RESPONSIBILITIES TO OUR COMPETITORS/OBEYING COMPETITION RULES
Our company favors fair competition in all respects. In addition to some other points, this means to obey all the laws on sales and marketing, exactly.
We compete legally and fairly. We only compete effectively for legal and ethical areas and we avoid competing unfairly.
We avoid making unfair statements about rival products. We never participate in any discussions or talks about our competitors, whether positively or adversely, we never express opinions about our competitors.
We never give wrong, false or deceptive advertisements concerning sales and marketing activities. We never make wrong or false statements.
INTEGRITY OF FINANCIAL AND COMMERCIAL RECORDS
Integrity is the most important element for a successful enterprise and a basic part for that company to maintain its activities legally, honestly and effectively. Recording and reporting truly will reflect positively on the credibility and reliability of the company and will ensure that the company fulfils its obligations to the laws and regulations.
It is very important to keep the books and records truly in respect of the company management and gaining and maintaining the trust of investors. Account books and records of our company reflect always company’s financial transactions completely and truly, whether in computer or on paper or in any other form. These also include time cards, vouchers, receipts, invoices, costs certificates, payrolls, personnel benefit records, personnel evaluation records and other important information.
Any reports, presentations, financial statements and footnotes to be declared to the public and to be submitted to competent authorities are prepared according to the laws, regulations, codes of business conduct, our company’s regulations, in due time, completely, correctly, truly and clearly and they are conserved.
The fact that the records are true and complete allows our company to fulfil its obligations and to give timely, clear, complete, sufficient and true information on its financial structure and other issues to any relevant groups and official authorities all over the world.
USE OF COMPANY RESOURCES
We are responsible for strengthening and protecting the name and reputation of our company and using its resources efficiently. We avoid showing any appearances, behaviours and actions to damage such a reputation and to put our company into trouble. We act in a sense of and responsibility for producing more than we consume when carrying out our duties.
The purpose for company resources is to assist in fulfilling its objectives. Any company resources we misuse, including our time, will damage all of us, financial situation and business performance of our company.
We avoid using company assets for personal benefits and committing any actions and transactions to damage the company. We avoid using computer systems, corporate e-mail accounts and the Internet improperly. We use time in working hours efficiently.
GIFT, FUN AND ENTERTAINMENT
Giving and accepting presents mutually, having fun and entertaining may help develop relations, however, they may cause a conflict of interest between personal benefits and professional duties. The “golden rule” when giving a present or when entertaining is to be reasonable and to consider how it would be understood.
We never offer or accept money or money equivalent gift cheques. Presents we give or we accept should not prevent us from making objective business decisions and they should not affect our objectivity.
We never offer and accept any presents which may make an impression of corruption, or which may cause a dependency relation or which may be understood so, except for souvenirs and promotional materials given according to commercial traditions and customs.
TEAM WORK
A team is a small group consisting of the individuals who are locked on a common purpose and common performance targets, who determine a common approach to the project they are responsible for and who have supplementary properties. A team is a human group coming from different specialties, uniting different skills and gathering to fulfil a duty.
We conduct teamwork removing corporate and geographic borders to be a successful company and to meet changing needs of our customers. We expect our employees to devote all their capabilities and knowledge to our company, both in individual works and teamwork. We accept all team members to be authorized and responsible leaders who will direct us in their specialties.
Thanks to teamwork, we believe that our company’s targets will be shared, that the quality and speed or our decision-making process will increase, that such good decisions made will actualize, that experience and practice will become widespread, that a spirit of team and a sense of success will rule over the establishment, that we will turn into a continuously learning establishment and its employees and thus, we will get ahead of our competitors.
